1&1 Drillisch and Telefónica enter into national roaming agreement

Maintal, 21 May 2021. Today, Drillisch Online GmbH (″1&1 Drillisch“), a wholly-owned subsidiary of 1&1 Drillisch AG, entered into a long-term national roaming agreement with Telefónica Germany GmbH & Co. OHG (″Telefónica“). As part of the overall agreement, the ongoing price review proceedings initiated by 1&1 Drillisch AG will be terminated. This agreement is based on a letter agreement dated 15 February 2021, in which the parties have agreed to enter into a national roaming agreement. The agreement goes back to a commitment by Telefónica as part of the EU antitrust approval of the merger with E-Plus in 2014. The European Commission has been closely monitoring effective compliance with these commitments from the outset and was instrumental in facilitating the successful completion of the negotiations.

The national roaming agreement has an initial term until 30 June 2025. 1&1 Drillisch has the right to unilaterally extend the initial term until 30 June 2029. Thereafter, at 1&1 Drillisch's request, an additional contract extension up to 30 June 2034 is possible.

The national roaming agreement provides for annually decreasing prices, which apply retroactively from July 2020 also to the ongoing MBA MVNO agreement. These prices are lower than the prices most recently charged by Telefónica under the MBA MVNO agreement.

The prices for the first extension option until June 2029 are determined by specific rules. In the period thereafter, Telefónica continues to be obliged to offer non-discriminatory prices.

1&1 Drillisch continues to be entitled to review all prices in a price review (expert proceedings), the rules and deadlines of which have been specified, once a year on a date freely determined by 1&1 Drillisch. Going forward, 1&1 Drillisch may reduce or increase the required capacities within a contractually defined range several times a year.

The start date for national roaming will be set by 1&1 Drillisch in parallel with the launch of the 1&1 Drillisch mobile network. From this date, all new customers and all 1&1 Drillisch customers migrated to 1&1 Drillisch's network will have access to 1&1 Drillisch's 5G network, and automatically non-discriminatory access to Telefónica’s 2G and 4G mobile network via national roaming in areas not yet rolled out by 1&1 Drillisch. From 1 January 2026, access to 4G national roaming in Telefónica’s mobile network will be limited to some extent in certain urban areas which will then be covered by 1&1 Drillisch’s 5G network. However, in these areas a minimum coverage of national roaming of up to 50 Mbit/s is always ensured. The agreed national roaming services complement the exceptional innovation potential of 1&1 Drillisch's 5G network.

1&1 Drillisch customers, who are currently activated on Telefónica's network, will step-by-step be migrated within a contractually agreed transition period following the launch of 1&1 Drillisch's 5G network and will continue to have 2G, 4G and 5G access to Telefónica's mobile network until then.

Assured access to national roaming is another milestone on 1&1 Drillisch's path to becoming the fourth mobile network operator.

Maintal, 17 December 2020. Today, 1&1 Drillisch has received the final expert opinion in the proceedings to review the price increase implemented by Telefónica in December 2018 with reference to the 2015 frequency auction.

The expert confirms the result and the calculation method of his draft expert opinion of 8 October 2020. The price increase claimed by Telefónica in December 2018 is fully unjustified for the reviewed period (2016 to 2020) and does not result in a payment obligation of 1&1 Drillisch. No further expert arbitration proceedings initiated by Telefónica are pending.

Conversely, 1&1 Drillisch still demands substantial reductions of the advance service prices under the MBA MVNO agreement with retroactive effect from Telefónica in the price adjustment proceedings 1, 2, 5 and 6. These price adjustment proceedings can only result in an improvement of the purchasing conditions of 1&1 Drillisch, but cannot establish payment obligations of 1&1 Drillisch towards Telefónica.

    Maintal, 13 August 2020 — In comparison with 31 December 2019, 1&1 Drillisch AG (ISIN DE 0005545503) was able to increase the number of customer contracts across all customer groups by 240,000 to 14.57 million contracts in the first half of 2020. It was possible to acquire 250,000 mobile internet contracts, raising the number of contracts to 10.24 million. Broadband lines declined slightly by 10,000 DSL contracts to 4.33 million. In comparison with 30 June 2019, the number of customer contracts increased by a total of 650,000 (4.7 percent).

    Revenues rose by 4.1 percent to €1,881.2 million in HY1 2020 (HY1 2019: €1,806.3 million). The high-margin service revenues increased by 3.1 percent to €1,497.0 million (HY1 2019: €1,451.8 million). This figure takes into account negative revenue effects of €-4.6 million (in particular the lack of international roaming revenues) that are a consequence of the coronavirus pandemic and the temporary restrictions on our customers’ travel opportunities. Precluding this negative effect, service revenues would have increased by 3.4 percent.

    Earnings before interest, taxes, depreciation and amortisation (EBITDA) in HY1 2020 at €329.6 million remained lower than in the previous year (HY1 2019: €340.4 million). This decline resulted above all from regulatory effects in the form of the subscriber line price increases (since 1 July 2019) of about €-8.2 million and the increased expenses from the EU regulatory decision regarding text messages costs (since 15 May 2019) of about €-5.5 million (HY1 2019: €-1.0 million). Costs in the amount of €-5.6 million (HY1 2019: €-1.9 million) were incurred for the planning and preparation of our 5G wireless network. In addition, earnings were reduced by around €-10.2 € million because of the temporary change in use behaviours of our customers as a consequence of the coronavirus pandemic. Precluding all of aforementioned effects, comparable EBITDA would have grown by 4.0 percent.

    Free cash flow increased significantly by €117.3 million from €62.1 million in the previous year to €179.4 million in HY1 2020. At this time, 1&1 Drillisch has at its disposal about €406 million in freely available cash.


    The Company expects further customer growth for the year 2020 as a whole. As announced in the ad hoc disclosure on August 11, 2020, the company expects sales growth of approximately 4 percent from previous year EUR 3,674.9 million (service revenues: +2 - 3 percent, previous year EUR 2,943.0 million) for the full year 2020. EBITDA is still expected on a par with the previous year (EUR 683.5 million). This forecast is subject to uncertainties as an exact assessment of the duration and further impact of the coronavirus pandemic is not currently possible.
